Terms and Conditions for Ultra Digital Communications

1. Introduction

Welcome to Ultra Digital Communications ("Ultra Digital Companies, LLC", "we", "us", "our"). These Terms and Conditions ("Terms") govern your use of our internet services ("Services"). By using our Services, you ("Subscriber", "you", "your") agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

2. Services Provided

We provide internet access and related services as specified in your service plan. The scope and features of the Services may vary based on the plan selected.

3. Account Registration

To use our Services, you may have to register for an account. When doing so, you agree to provide accurate and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Payment Terms

You agree to pay all fees and charges associated with your chosen service plan. Fees are billed monthly in advance unless otherwise specified. Payments are due as specified on invoice(s) of each billing cycle. Late payments may result in additional charges or suspension of Services.  Taxes and Fees may change at anytime (Except during Any Price-Lock Period - If Applicable). MOBILE PLANS: You may switch a mobile line plan once a month without any additional fees.  Switching of a mobile line plan more than once a month may result in additional fees.

5. Acceptable Use Policy

You agree to use our Services in compliance with our Acceptable Use Policy ("AUP"), which prohibits unlawful, harmful, or abusive use of the Services. This includes, but is not limited to:

- Engaging in illegal activities such as hacking, fraud, or the distribution of malware.

- Sending unsolicited bulk emails (spam).

- Infringing on the intellectual property rights of others.

- Engaging in activities that disrupt or harm our network or other users.

Violation of the AUP may result in suspension or termination of your Services.

6. Service Availability and Maintenance

We strive to provide reliable Services but do not guarantee uninterrupted access. We may perform maintenance or updates to our network, which could result in temporary service interruptions. We will endeavor to provide advance notice of scheduled maintenance whenever possible.

7. Limitation of Liability

To the fullest extent permitted by law, Ultra Digital Communications is not liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services. This includes, but is not limited to, damages for loss of profits, data, or other intangibles.

8. Indemnification

You agree to indemnify, defend, and hold harmless Ultra Digital Communications, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney fees) arising out of or in connection with your use of the Services or breach of these Terms.

9. Privacy Policy

10. Modifications to Terms

We reserve the right to modify these Terms at any time. Any changes will be effective upon posting the revised Terms on our website. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

11. Termination

Either party may terminate this Agreement with thirty (30) days written notice. We may also terminate or suspend your Services immediately for violations of these Terms or our AUP.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of laws principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Fayette County, Georgia.

14. Entire Agreement

These Terms, along with our Privacy Policy and AUP, constitute the entire agreement between you and Ultra Digital Communications regarding the use of our Services and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and us.
